Agreement to Terms
By accessing or using yourmodernweb.com or engaging ModernWeb's services, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our website or services.
Services
ModernWeb provides fixed-scope website rebuild services delivered in 30-day sprints. Each engagement is scoped individually based on information provided through our intake form. Services include website design, development, and deployment for up to 5 pages per sprint.
Engagement Process
The engagement process consists of intake form submission, review within 48 hours, acceptance or decline notification, scoped proposal delivery for accepted projects, deposit payment, sprint execution with one mid-sprint preview for alignment, final delivery, final payment, and post-launch follow-up.
Pricing and Payment
Engagements range from $5,000 to $10,000 depending on vertical and scope, as determined during the scoping phase. A 50% deposit is required before the sprint begins. The remaining 50% is due upon delivery of the completed website. All payments are processed securely through Stripe. Pricing is confirmed in writing via the scoped proposal before any payment is collected.
Scope of Work
Each sprint delivers up to 5 pages as defined in the scoped proposal. The scope includes one mid-sprint preview for alignment. Requests beyond the agreed scope may require a separate engagement. ModernWeb reserves the right to decline projects that fall outside our area of expertise or capacity.
Client Responsibilities
You agree to provide accurate and complete information in the intake form, to respond to communications within a reasonable timeframe during the sprint, to provide brand assets (logos, colors, content) as requested, and to review and provide feedback during the mid-sprint preview within 3 business days.
Intellectual Property
Upon receipt of final payment, you own the delivered website and all custom assets created during the sprint. ModernWeb retains the right to showcase the project as a portfolio piece and case study, including screenshots and general project descriptions, unless you request otherwise in writing. ModernWeb retains ownership of any proprietary tools, frameworks, or processes used in the delivery of services.
Limitation of Liability
Services are provided "as-is." ModernWeb does not guarantee specific business outcomes such as lead volume, revenue, conversion rates, or search engine rankings. Our total liability for any claim arising from the services shall not exceed the total amount paid by you for the specific engagement giving rise to the claim. ModernWeb shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
Refunds and Termination
Either party may terminate the engagement with written notice via email. The 50% deposit is non-refundable once the sprint begins, as it reserves capacity and initiates work. If ModernWeb terminates the engagement before the sprint begins, the deposit will be refunded in full. If the client terminates after the sprint begins, any completed work up to that point will be delivered but no refund of the deposit will be issued.
Dispute Resolution
Any disputes arising from these terms or the services provided shall first be attempted to be resolved through good-faith negotiation via email. If a resolution cannot be reached within 30 days, either party may pursue resolution through mediation or binding arbitration in the State of Florida, in accordance with Florida law.
Indemnification
You agree to indemnify and hold harmless ModernWeb, its owner, and its contractors from any claims, damages, or expenses arising from your use of the delivered website, your breach of these terms, or any content you provide for inclusion in the website.
Modifications to Terms
We may update these Terms of Service from time to time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of our services after changes are posted constitutes acceptance of the updated terms.
Governing Law
These Terms of Service are governed by the laws of the State of Florida, without regard to conflict of law principles.
